In the current market, most small businesses trade at a multiple of the Seller's Discretionary Earnings (SDE). SDE or Cash Flow is defined as the net income of a business before taxes (operating income), interest, depreciation and amortization, the owners compensation and benefits, and non-recurring expenses.
Once your Business Broker has developed the SDE of your business, a multiplier is applied to that number to calculate the estimated sales price. Your Business Broker will use their experience to identify the ideal multiplier for your business. This multiplier is based on industry, past local sales, and other qualitative factors such as management structure and competitive advantages.
